
We are pleased to announce that a scientific monograph by Aleksandra Łatała-Kremer, PhD titled “Civil liability of members of joint-stock company bodies for economic decisions towards the company from a comparative legal perspective” has been published by C.H. Beck Publishing House.
The monograph provides a comparative legal analysis of the liability of members of management boards, supervisory boards and boards of directors for business decisions in three jurisdictions – Poland, the United States and Germany. The publication is the first comparative and comprehensive study of the topic of liability of members of Polish joint-stock company bodies for economic decisions. The author focused on the key issues for the application of the newly introduced business judgment rule to the Code of Commercial Companies.
The monograph analyses the following issues for each of the three jurisdictions separately:
1. the duty of loyalty and due diligence,
2. the prerequisites for the liability of board members for business decisions,
3. the applicability and content of the business judgement principle,
4. consequences of non-application of the principle of business judgement,
5. possibility of modification of liability,
6. the possibility of shareholder redress of the company and the factors that affect the actual use of it by shareholders.
The last part of the publication contains a proper comparative legal analysis of the liability of board members for business decisions.
